Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THIS SITE. BY ACCESSING THIS SITE, REGISTERING AN ACCOUNT, OR USING ANY SERVICES PROVIDED BY ZIPRENOVATION INC (ROISCOUT), YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THIS SITE OR ANY SERVICES PROVIDED BY ZIPRENOVATION INC (ROISCOUT). 

 

1. Services Provided

This website is operated by Ziprenovation Inc (ROIScout), henceforth referred to as “Service Provider.” We provide services to monitor multiple listing services (MLS) and off-market platforms to identify potential real estate investment opportunities for our users, henceforth referred to as “Investor(s).” 

ROIScout offers a 60-minute offer preparation service for investors who wish to submit an offer on a property identified through our platform. This service is intended to be efficient and minimize delays; however, the 60-minute timeframe applies during standard business hours of 8 AM to 5 PM EST, Monday to Friday. There may be unforeseen circumstances that could extend the offer preparation beyond 60 minutes. These may include, but are not limited to, incomplete or inaccurate information available in the property listing, delays in communication or responses from listing agents, or other third parties involved in the transaction and technical difficulties or unforeseen system outages.

 

2. Non-Circumvention

As an Investor, you agree NOT TO CIRCUMVENT, AVOID, BYPASS, OR OBSTRUCT the involvement of the Service Provider in any transaction with property owners, wholesalers, or sellers introduced or identified by the Service Provider. 

 

3. Finder’s Fee

You, the Investor, agree to pay a finder’s fee amounting to 1% of the purchase price of any property for which the Service Provider has provided the address. This fee is due upon closing the purchase of the property. 

 

4. Breach of Agreement

IN THE EVENT OF A BREACH OF AGREEMENT, where we have provided you a property address and you complete a property purchase in your name, an entity in which you hold an ownership interest, or any arrangement where you have a financial stake, without compensating the Service Provider for that property, YOU AGREE TO PAY A FLAT FEE OF $25,000. 

 

5. Investor Verification

You agree to provide necessary credentials, proof of funds, and other relevant information for verification by the Service Provider. 

 

6. Exclusivity

You grant exclusivity to the Service Provider to act as a deal facilitator for any property for which the Service Provider has provided the address. 

 

7. Deposits and Escrow

You may be required to place a deposit or funds in escrow, signifying good faith and adherence to the terms of this agreement. 

 

8. After-Sale Confirmation

You agree to confirm any transaction completion involving properties introduced by the Service Provider, as necessary for our records. 

 

9. Confidentiality

You agree to maintain the confidentiality of all information regarding property deals and disclosures. 

 

10. INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE SERVICE PROVIDER, ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, LICENSORS AND SUPPLIERS FROM AND AGAINST ALL LOSSES, EXPENSES, DAMAGES AND COSTS, INCLUDING REASONABLE ATTORNEYS’ FEES, RESULTING FROM ANY VIOLATION OF THESE TERMS OF SERVICE OR ANY ACTIVITY RELATED TO YOUR ACCOUNT (INCLUDING NEGLIGENT OR WRONGFUL CONDUCT) BY YOU OR ANY OTHER PERSON ACCESSING THE SITE USING YOUR INTERNET ACCOUNT. 

 

11. Disclaimers

THE SERVICE PROVIDER PROVIDES NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED ON THE SITE OR THROUGH THE SERVICES. ALL INFORMATION IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. 

 

12. ARBITRATION CLAUSE

ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS CONTRACT, OR THE BREACH, TERMINATION OR INVALIDITY THEREOF, SHALL BE SETTLED BY ARBITRATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. THE ARBITRAL TRIBUNAL SHALL CONSIST OF A SINGLE ARBITRATOR. THE PLACE OF ARBITRATION SHALL BE GAITHERSBURG, MARYLAND. THE LANGUAGE TO BE USED IN THE ARBITRAL PROCEEDINGS SHALL BE ENGLISH. 

 

13. Governing Law

This Agreement and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the state of Maryland, USA. 

 

14. Acceptance of the Agreement

BY USING THIS SITE AND THE SERVICES PROVIDED BY ZIPRENOVATION INC (ROISCOUT), YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS.
